THIS AGREEMENT, entered into on the acceptance date (as shown on the previous page) and between ALLSPORTS PRODUCTIONS, LLC. and the Exhibiting Company (hereinafter referred to as EXHIBITOR).
WITNESSETH: For and in consideration of the rental sum (identified on the previous page as “SUM TOTAL”) including the agreements and covenants contained herein, and the faithful and timely performance of such agreements and covenants. ALLSPORTS PRODUCTIONS, LLC. hereby grants EXHIBITOR the right to use the confirmed space designated (see previous page) as indicated on the official layout of the Florida Outdoor Expo for the period of time indicated in the Exhibitors Manual for the installation, display and removal of exhibit materials and for no other purpose and shall display and exhibit only those products or services directly related to the design, construction and use of the recreational outdoor enthusiast industry.
This agreement is made and entered into upon the following terms and conditions, which are mutually agreed to by both parties.
1. All decisions regarding space assignment, nature and style of exhibit, floor management before, during and after show hours; interpretations and enforcement of rules and regulations including such amendments and further rules and regulations may be considered necessary for the proper conduct of the show and all other matters pertaining to the show shall be made by AllSports Productions, LLC.
2. Neither ALLSPORTS PRODUCTIONS, LLC; the CITY OF WEST PALM BEACH, THE WEST PALM BEACH FAIRGROUNDS; and its employees or their duly appointed representatives shall be liable or responsible for any injury to exhibitors or their employees or their guests or visitors while within the space or spaces contracted for by the EXHIBITOR; nor shall said parties be liable for the loss of any goods from any cause whatsoever while the same are in transit to or from the show, or while they are in the exhibit area. EXHIBITOR shall be responsible for obtaining insurance at their own expense and shall provide a Certificate of Insurance to ALLSPORTS PRODUCTIONS, LLC. EXHIBITOR shall be solely responsible for ensuring that all display materials and equipment, including but not limited to ramps, stairs, or boarding devices within or leading into their exhibit space or products shall be of type normally suited for such purposes and shall comply with all applicable OSHA building codes, safety standards or any other applicable laws.
3. All applicable electrical, fire, and health department rules and regulations and all City, State, and Federal laws shall be complied with.
4. EXHIBITOR may not sub-lease, assign, or apportion their space. No more than one firm may exhibit in a single space without the written permission of ALLSPORTS PRODUCTIONS, LLC.
5. EXHIBITOR shall conduct business only within the confines of their space.
6. Exhibit shall be manned during all show hours. EXHIBITOR'S WILL BE PENALIZED FOR MOVING OUT EARLY FROM THE SHOW AND WILL FORFEIT THEIR FIRST RIGHT OF REFUSAL FOR THE FOLLOWING SHOW YEAR.
7. EXHIBITOR shall be required to keep their space neat and attractive. Homemade or handwritten signs are prohibited. Display may not create visual block that will detract from adjoining displays. Excessive noise is prohibited.
8. Cash and carry sales are permitted. EXHIBITOR is responsible for collecting and paying all applicable taxes. A receipt must be given to customer listing each item purchased.
9. Boat, trailer or other displays are not permitted in the surrounding parking lots during show hours except in designated areas.
10. EXHIBITOR deposits for space are not refundable once assigned by ALLSPORTS PRODUCTIONS, LLC.
a. EXHIBITOR dropouts before ALLSPORTS PRODUCTIONS, LLC assigns space are subject to a drop out fee.
11. All display products must be clean and in good condition. Only participating product manufacturers, dealers or licensed Yacht Brokers are eligible. ALLSPORTS PRODUCTIONS, LLC. reserves the right to refuse any products, which, in ALLSPORTS PRODUCTIONS, LLC.’s opinion, do not meet these standards.
12. In the event EXHIBITOR defaults in its obligations hereunder, this contract, at the option of ALLSPORTS PRODUCTIONS, LLC. shall be terminated whereupon all payments made hereunder shall be retained by ALLSPORTS PRODUCTIONS, LLC. as and for liquidated and agreed damages. In such an event, the space described herein shall be available for use by ALLSPORTS PRODUCTIONS, LLC. for any purpose. EXHIBITOR shall be liable for all damages caused by its default including by not limited to court costs and attorney’s fees.
13. EXHIBITOR MUST BE PAID IN FULL BEFORE THEY ARE ALLOWED TO MOVE INTO THE SHOW.
I hereby agree to hold harmless the FLORIDA OUTDOOR EXPO, LLC; the CITY OF WEST PALM BEACH, WEST PALM BEACH FAIRGROUNDS, ALLSPORTS PRODUCTIONS, LLC employees, and any other organization involved in this event for any personal injury or property damage which I, and/or my staff, vessel, product, display may cause in any way, or which may be occasioned to be, as a result of my show participation. I understand I am waiving rights to sue by signing this application. Application for the above space is submitted in accordance with the terms and conditions on the face/reverse of this contract and any additional pages regarding contractual information or event formalities.
